Terms and Conditions for Paripesa Partners

This Agreement sets forth the terms and conditions governing participation in the Paripesa Partners program (the “Program”). By enrolling, the Affiliate agrees to adhere to these terms, including amendments made by the Program.

Definitions

Certain key terms used in this Agreement include:

• Client: A customer of the Program.
• Offer: Promotional opportunities provided by the Program, available on the Program Site or via email, with specific terms.
• Program Site: The official platform
• Sub-Affiliate: An independent third party engaged by the Affiliate to assist in distributing promotional offers.

Participation Guidelines

To join the Program, Affiliates must meet the following criteria:

1. Be at least 18 years old or the legal age of majority in their jurisdiction.
2. Use a unique username and password provided by the Program, strictly for personal access.

Affiliates may engage Sub-Affiliates but must:

• Obtain written approval from the Program.
• Provide verifiable contact details of Sub-Affiliates upon request.
• Ensure Sub-Affiliates comply with the Agreement and Program policies.

The Program reserves the right to verify registration details and may terminate accounts with misleading or inaccurate information. Affiliates are independent contractors and may not act as agents, employees, or partners of the Program.

Advertising and Creative Use

Affiliates are allowed to use promotional materials provided by the Program, including banners, mailers, and logos, but must adhere to the following rules:

• Approved materials may not be altered or modified.
• Custom creative designs require prior written approval.
• Affiliates are responsible for maintaining their websites, ensuring compliance with laws, and avoiding illegal or misleading content.

Any unauthorized use of the Program’s materials or trademarks is prohibited.

Offers

Offers made available on the Program Site are for use on the Affiliate’s platforms and emails. These Offers:

• Must not be altered or misrepresented.
• Should only be published in compliance with Program policies.

Payments

Commissions are paid based on the terms outlined in each Offer and depend on traffic volume and quality. Key payment details include:

• Threshold: The minimum payout is $30.00 USD.
• Delays: Payments may take 48–72 hours due to third-party processing.
• Affiliates must provide accurate payment details to avoid delays.

The Program reserves the right to withhold payments in cases of fraud or non-compliance.

Prohibited Activities

Affiliates must not:

1. Benefit from invalid traffic or fraudulent activity.
2. Engage in spam advertising or false promotions.
3. Use unauthorized methods such as contextual ads or ClickUnder/PopUnder ads without approval.
4. Operate personal gaming accounts linked to their affiliate accounts.

Breaches of these rules can result in account termination and forfeiture of funds.

Good Faith and Fraud

Affiliates are expected to act in good faith and avoid fraudulent practices, such as generating fake leads or inflating traffic metrics. The Program reserves the right to terminate accounts involved in fraud and withhold any due commissions.

Confidentiality

The Program may share confidential information with Affiliates. Affiliates must:

• Use the information solely for Program-related purposes.
• Avoid sharing it with third parties without written consent.

Upon termination, all confidential materials must be returned.

Non-Competition

For six (6) months after termination, Affiliates must not:

• Solicit Program clients or employees.
• Engage in activities that compete with the Program.

Termination

• The Program may terminate this Agreement with six hours’ notice.
• Affiliates may terminate with forty-eight hours’ notice.

Upon termination, Affiliates must remove all Program materials and return any confidential information.

Liability and Indemnification

The Program disclaims liability for damages arising from participation in the Program. Affiliates agree to indemnify the Program against claims resulting from breaches or unauthorized activities.

General Provisions

The Program reserves the right to amend this Agreement at any time. Affiliates are responsible for staying informed of changes. The Agreement is written in English, which prevails over any translations in case of discrepancies.

This Agreement governs the professional relationship between Paripesa Partners and its Affiliates, ensuring compliance, mutual understanding, and adherence to ethical standards. By participating, Affiliates agree to abide by these terms.
